At LAYN, ethics is not a department. It's embedded in our engineering, in our materials, in every decision we make.
We are building more than machines — we're shaping the future of construction. That requires more than technical precision; it demands moral clarity, transparency, and responsibility across every layer of our business. Whether we're delivering a pilot project, entering a new market, or engaging with investors, we operate with a deep commitment to ethical conduct and full legal compliance.
We view ethics as a strategic asset — not a constraint. At a time when emerging technologies are reshaping how we live and build, we recognize the immense responsibility that comes with innovation. Our internal culture and external partnerships are governed by a set of shared values that prioritize integrity, fairness, and respect.
• Trust is earned. Every conversation, contract, and collaboration is an opportunity to build or break trust. We choose to build it — intentionally.
• Long-term value over short-term gain. We reject shortcuts, shady dealings, and anything that compromises quality or credibility.
• Transparency is power. We believe clear, honest communication prevents problems, strengthens relationships, and builds resilience.
We comply with all applicable laws and regulations in every region where we operate — including but not limited to:
• U.S. federal and state corporate laws (as a Delaware C Corp)
• Data protection and privacy laws such as GDPR, CCPA, and local equivalents
• Anti-bribery and anti-corruption laws (e.g., FCPA, UK Bribery Act)
• International labor, employment, and environmental standards
• Construction, safety, and building codes where applicable
Our leadership, operations, and advisory boards are trained to uphold and enforce these standards across every project, partnership, and transaction.
We also maintain internal controls and review processes to ensure compliance is monitored, enforced, and continuously improved.
LAYN prohibits all forms of bribery, kickbacks, and improper influence — whether direct or indirect, financial or non-financial.
We do not offer, accept, or tolerate:
• Payments or gifts intended to influence a decision or gain an unfair advantage
• Undisclosed commissions or third-party fees
• Facilitation payments, even in regions where they are customary
• Misrepresentation of facts or credentials in business dealings
Employees, contractors, and partners must report any situation that appears suspicious or violates this policy.
We treat all confidential information — whether customer, partner, employee, or proprietary data — with the highest level of care.
• We only collect data we need.
• We never sell, trade, or disclose sensitive information without explicit consent.
• Our internal systems are governed by access control, security protocols, and regular audits.
When we collaborate with clients or research partners, we clearly define boundaries around IP ownership, attribution, licensing, and future use. Our standard agreements reflect our respect for creative and commercial ownership on both sides.
We take every concern seriously — and we protect those who speak up.
If you observe or suspect unethical behavior, policy violations, or illegal activity connected to LAYN or any of its affiliates, you can report it confidentially. We will investigate with discretion, speed, and fairness. We do not tolerate retaliation of any kind.

Ethics is not static. As our business grows — across geographies, sectors, and technologies — our responsibility grows with it.
That's why we review and update our ethics and compliance protocols regularly. We engage legal counsel, regulatory advisors, and independent reviewers to ensure our systems are aligned with global standards and ready for what's next.
We are proud of what we build. And we are proud of how we build it.
